Matters Handled by Business Attorney

WHO WE ARE?

We’re structured to operate more like an in-house legal department than a traditional law firm. That means direct access to your attorney, transparent scoping and fees, and disciplined communication so leadership always knows where matters stand.

A Firm Designed for Modern Corporate Counsel

Law Laguna was created for founders, executives, and legal-lean teams who expect their corporate counsel to understand the business, not just the law.

Many companies have experienced the same pattern: initial calls with a senior partner, followed by work that’s delegated down, slow response times, and bills that arrive with more questions than answers. Law Laguna is deliberately built in the opposite direction.

Lawyers at Law Laguna Meet to Discuss Corporate Counsel Details for Client

Business Law in Daily Motion

Legal isn’t something we only address when there’s a crisis. We stay close to the day-to-day decisions that shape how your company runs and grows.

Issues Caught Before They Escalate

We look ahead for pressure points in contracts, governance, and operations so potential problems are identified early and handled with calm, not urgency.

Defined Work, Clear Expectations

Matters are framed with clear scope and outcomes in mind, so legal support feels structured and intentional instead of open-ended or hard to gauge.

Detail-Driven, Goal-Oriented Counsel

We handle the underlying structure (entities, records, contracts, and compliance) with an eye on where your business is headed, not just what’s on the desk today.

How Law Laguna Fits Into Your Company

For many clients, Law Laguna functions as outside general counsel: the first legal call when something important or unexpected comes up.

We help with:

  • Everyday questions about contracts, governance, and compliance.
  • Translating complex legal issues into clear options and tradeoffs.
  • Coordinating specialized resources when needed, while staying close to strategy.

You get the benefits of in-house–caliber counsel, context, continuity, and judgment, without the headcount or overhead of building a full legal department before you’re ready.

Our Values

At Law Laguna, our values are not a marketing exercise; they shape how we structure every engagement and how we serve our business clients.

/001 - Direct Access to Your Attorney

You work directly with the attorney leading your matters, not through a maze of intermediaries. We keep the team intentionally lean so your counsel understands your business, your documents, and your tolerance for risk.

When you call or email with a question, you’re speaking with the person who already has context, not repeating the same story to someone new. This makes decisions faster, advice more practical, and relationships more efficient over time.

  • Direct line to the attorney leading your work.
  • Faster answers with less re-explaining.
  • Advice grounded in real familiarity with your business.

/002 - Transparent Process & Predictable Billing

Legal work shouldn’t feel opaque or open-ended. Matters are scoped in advance whenever possible, with expectations around deliverables, timing, and likely fees.

For ongoing corporate counsel engagements, we favor structures that give you predictability and control, whether that’s outside general counsel arrangements, flat-fee projects, or defined hourly work with clear estimates.

You stay updated on status, scope, and spend as things progress, so invoices match the story you already know, not a surprise after the fact.

  • Defined scope before significant work begins.
  • Clear estimates and fee structures up front.
  • Regular updates on status, scope, and spend.

/003 - Embedded in Your Business & Operations

Effective corporate counsel needs a real understanding of how your company works. We invest time in learning your business model, revenue drivers, internal processes, and the personalities on your leadership team.

That context shapes how we draft, negotiate, and advise—whether the question is about a vendor contract, a board action, or a potential transaction.

The goal is for legal to feel like a familiar, integrated function of your company, not an outside voice dropping in without context.

  • Time invested to understand how you operate.
  • Recommendations tailored to your internal realities.
  • Legal integrated into day-to-day decision-making.

/004 - California-Focused Compliance Expertise

California is one of the most complex regulatory environments for businesses in the country. Law Laguna keeps its focus on California business law, from corporate governance requirements to employment-related risks and sector-specific regulations.

We help you understand how state and federal rules intersect with your specific operations so you can grow without ignoring the basics.

Where highly specialized regulatory needs arise, we help you identify and coordinate the right outside resources while maintaining continuity on the broader corporate picture.

  • Focus on California-specific business and compliance rules.
  • Guidance on practical steps, not just legal theory.
  • Coordination with specialists when deeper expertise is needed.

/005 - Tech-Forward, Efficient Workflows

Good tools don’t replace judgment, but they can make the work far more organized and clear. We use modern document systems and communication tools to keep corporate records, contracts, and matter histories structured and accessible.

The emphasis is on using technology to support clarity, not complexity.

  • Centralized, organized digital corporate records.
  • Clear histories for contracts and key matters.
  • Secure, efficient channels for collaboration and updates.

/006 - Long-Term Partnership Approach

Most of our work is designed with a long view in mind. That doesn’t mean locking clients into rigid arrangements; it means approaching each engagement with an eye toward consistency and future impact.

We prioritize clean corporate records, contracts that align with your actual practices, and decisions that won’t create avoidable problems three years from now.

We aim to be the firm you can call for early-stage questions, growth decisions, and significant transactions, without having to re-explain who you are and how you operate every time a new issue arises.

  • Built to support you across stages of growth.
  • Consistency in how matters are handled and documented.
  • One relationship for both routine needs and major events.

Who We Serve

Law Laguna supports founders, executives, and leadership teams who need reliable, business-focused corporate counsel across a range of industries.

  • Startups and emerging companies
  • Growing and mid-market businesses
  • Privately held and family-owned companies
  • Professional services firms and agencies

Most clients are based in Orange County, Los Angeles, and the greater Southern California region, with some engagements extending across California where business operations and state law align.

Wherever you are in your growth, the common need is the same: a business-focused attorney who can help you manage risk, move deals forward, and keep your corporate foundation in order.

About the Founding Attorney

Rickson Galvez, Esq.
Founding Attorney, Law Laguna

Rickson Galvez is a Southern California business attorney and the founding attorney of Law Laguna. His practice focuses on corporate governance, commercial contracts, regulatory compliance, M&A and transaction support, and outside general counsel services for individuals, privately held businesses, and growth-oriented companies at every stage.

Before launching Law Laguna, Rickson practiced at Lagerlof, LLP, the largest and one of the most established law firms in Pasadena, where he advised clients on a wide range of corporate, real estate, and transactional matters. His work at Lagerlof included:

  • Structuring, drafting, and supporting corporate and real estate transactions ranging from early-stage deals to multi-million-dollar business sales.
  • Advising closely held companies and professional practices on governance, entity structure, compliance, and risk allocation.
  • Managing matters from initial strategy through negotiation, mediation, settlement, or judgment in a high-volume, fast-moving environment.

Earlier in his career, Rickson developed hands-on business and transactional experience in in-house, institutional, and technology-focused settings, including:

  • Working with Cypress Creek Renewables, a nationally scaled renewable energy platform, where he supported M&A, recapitalization, and financing transactions, assisted with due diligence, and organized corporate governance materials in connection with institutional-level deals, including a $500 million recapitalization.
  • Serving as a research associate and senior research associate with the New York State Science & Technology Law Center, where he advised universities, research institutions, and technology-driven organizations on intellectual property strategy, licensing structures, commercialization pathways, and regulatory considerations for emerging technologies.

This combination of large-firm training, in-house transactional exposure, and technology-adjacent advisory work informs Rickson’s approach at Law Laguna: practical, precise, and grounded in how businesses actually operate, scale, and manage risk.

Clients value Rickson for his clear communication, disciplined process, and ability to balance legal rigor with commercial judgment—delivering sophisticated legal support without unnecessary layers, delay, or performative complexity.
